Terms and Conditions Agreement

  1. Acceptance of Terms

Welcome to TibTok (“the Services”). The Services include the TibTok clinic management platform, accessible via our website, and the TibTok mobile application (collectively, “the Platform”), provided by 15457505 Canada Inc. (“we,” “us,” “our”).

 

By accessing or using our Platform, you agree to be legally bound by these Terms and Conditions (“Terms”), our Privacy Policy, and our Business Associate Agreement (where applicable), all of which are incorporated herein by reference. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity. If you do not agree to these Terms, you must not access or use the Platform.

 

  1. Description of Services

TibTok provides a suite of tools that includes a web-based clinic management system for healthcare providers and a mobile application for patients and providers. The Services facilitate practice management, scheduling, communication, and the exchange of health information. The Platform is not a substitute for professional medical advice, diagnosis, or treatment.

 

  1. User Accounts and Registration

To access the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate.

  • Healthcare Providers: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account, including the activities of any assistants or staff you authorize. You must ensure that your use of the Platform complies with all applicable laws, including health data privacy and security regulations.
  • Patients: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

 

  1. Privacy and Data Security

Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your information. By using the Platform, you consent to our data practices as described in the Privacy Policy.

 

  1. Use of the Platform; User Conduct

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to, and not to permit others to:

  • Use the Platform in any way that violates any applicable federal, state, local, or international law or regulation.
  • Post, transmit, or otherwise make available any content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
  • Impersonate any person or entity or misrepresent your affiliation with a person or entity.
  • Engage in any activity that interferes with or disrupts the integrity or performance of the Platform or its underlying systems.
  • Use any robot, spider, or other automated means to access the Platform for any purpose without our express written permission.

 

  1. Intellectual Property Rights

The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by 15457505 Canada Inc., its licensors, or other providers of such material and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

 

  1. Subscription Plans, Fees, and Payment
  • Subscription Tiers: We offer various subscription plans, including a free tier and paid plans with advanced features. The specific features and limitations for each plan are detailed on our website.
  • Fees and Payment: For paid plans, you agree to pay all applicable fees. Fees are non-refundable except as required by law. We use third-party payment processors, and you agree to abide by their terms and conditions.

 

  1. Termination

We may terminate or suspend your access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Platform will cease immediately.

If you are a healthcare provider, upon termination, you are responsible for exporting your patient data prior to the termination date. We may, in accordance with applicable law, retain certain data for a limited period post-termination.

 

  1. Disclaimers

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

 

  1. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 15457505 CANADA INC., ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; (III) ANY UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; AND (IV) ANY BUGS, VIRUSES, OR THE LIKE THAT MAY BE TRANSMITTED TO OR THROUGH THE PLATFORM.

 

  1. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Platform shall be instituted exclusively in the courts of the Province of Ontario.

 

  1. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Platform after those revisions become effective, you agree to be bound by the revised terms.
